V Romandale Farms Limited<\/em><\/a>, the Court of Appeal summarised the limitation of anticipatory breach actions:<\/p>\n<div class=\"paragWrapper\">\n<blockquote>\n<p class=\"AParaNumbering\" data-viibes-parag=\"258\" data-viibes-start=\"257\" data-viibes-end=\"256\">[<a class=\"reflex-paragAnchor\" name=\"par258\"><\/a>258]\u00a0\u00a0\u00a0An anticipatory breach of contract occurs when one party to a contract, by express language or conduct, or as a matter of implication from what it has said or done, repudiates its contractual obligations before they fall due:\u00a0<em>Ali v. O-Two Medical Technologies Inc.<\/em>, 2013 ONCA 733,\u00a0<a class=\"reflex3-caselaw\" href=\"https:\/\/www.canlii.org\/en\/on\/onca\/doc\/2013\/2013onca733\/2013onca733.html\">118 O.R. (3d) 321<\/a>, at para.\u00a0<a class=\"reflex-parag\" href=\"https:\/\/www.canlii.org\/en\/on\/onca\/doc\/2013\/2013onca733\/2013onca733.html#par22\">22<\/a>, citing G.H.L. Fridman,\u00a0<em>The Law of Contract in Canada<\/em>, 6th ed. (Toronto: Carswell, 2011), at p. 585.<\/p>\n<\/blockquote>\n<\/div>\n<blockquote>\n<div class=\"paragWrapper\">\n<div class=\"bootstrap unselectable viibes-marker-toolbox\" title=\"Paragraph tools\" data-with-parag=\"259\"><\/div>\n<p class=\"AParaNumbering\" data-viibes-parag=\"259\" data-viibes-start=\"258\" data-viibes-end=\"257\">[<a class=\"reflex-paragAnchor\" name=\"par259\"><\/a>259]\u00a0\u00a0\u00a0An anticipatory breach does not, in itself, terminate the contract. Once the offending party shows its intention not to be bound by the contract, the innocent party has a choice. The innocent party may accept the breach and elect to sue immediately for damages, in which case the innocent party must \u201cclearly and unequivocally\u201d accept the repudiation to terminate the contract. Alternatively, the innocent party may choose to treat the contract as subsisting, continue to press for performance, and bring the action only when the promised performance fails to materialize. However, by choosing the latter option, the innocent party is bound to accept performance if the repudiating party decides to carry out its obligations:\u00a0<i>Ali<\/i><i>,\u00a0<\/i>at para.\u00a0<a class=\"reflex-parag\" href=\"https:\/\/www.canlii.org\/en\/on\/onca\/doc\/2013\/2013onca733\/2013onca733.html#par24\">24<\/a>.<\/p>\n<\/div>\n<\/blockquote>\n<div class=\"paragWrapper\">\n<blockquote>\n<div class=\"bootstrap unselectable viibes-marker-toolbox\" title=\"Paragraph tools\" data-with-parag=\"260\"><\/div>\n<p class=\"AParaNumbering\" data-viibes-parag=\"260\" data-viibes-start=\"259\" data-viibes-end=\"258\">[<a class=\"reflex-paragAnchor\" name=\"par260\"><\/a>260]\u00a0\u00a0\u00a0Section 4 of the\u00a0<em>Limitations Act<\/em>\u00a0provides that \u201ca proceeding shall not be commenced in respect of a claim after the second anniversary of the day on which the claim was discovered.\u201d Section 5(1)(a) sets out the factors for determining when a party discovers a claim. However, where the innocent party does not accept the repudiation of the contract, the limitation period does not begin to run until the breach actually occurs:\u00a0<em>Ali<\/em>, at paras.\u00a0<a class=\"reflex-parag\" href=\"https:\/\/www.canlii.org\/en\/on\/onca\/doc\/2013\/2013onca733\/2013onca733.html#par26\">26-27<\/a>.<\/p>\n<\/blockquote>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p>In Fram Elgin Mills 90 Inc.
