{"id":563,"date":"2017-04-05T18:27:47","date_gmt":"2017-04-05T22:27:47","guid":{"rendered":"http:\/\/limitations.ca\/?p=563"},"modified":"2017-04-05T18:27:47","modified_gmt":"2017-04-05T22:27:47","slug":"ontario-the-divisional-court-on-the-nunc-pro-tunc-doctrine","status":"publish","type":"post","link":"http:\/\/limitations.ca\/?p=563","title":{"rendered":"Ontario: the Divisional Court on the nunc pro tunc doctrine"},"content":{"rendered":"<p>The Divisional Court has confirmed that the entitlement to an order granting leave <em>nunc pro tunc <\/em>to commence a derivative action under s. 26 of the <a href=\"http:\/\/canlii.ca\/t\/52wrv\" target=\"_blank\"><em>Business Corporations Act <\/em><\/a>requires bringing the leave motion within the limitation period.<\/p>\n<p>In <a href=\"http:\/\/canlii.ca\/t\/gxn6b\" target=\"_blank\"><em>1186708 Ontario Inc. v. Gerstein<\/em><\/a>, the appellants appealed from the order dismissing their motion as statute-barred arguing that the Supreme Court decision in <a href=\"http:\/\/canlii.ca\/t\/gmcnk\" target=\"_blank\"><em>Green<\/em><\/a>\u00a0(which set out the principles of the <em>nunc pro tunc <\/em>doctrine) applies\u00a0only to leave applications under the <a href=\"http:\/\/canlii.ca\/t\/52v52\" target=\"_blank\"><em>Securities Act<\/em><\/a> and not under other statutes.<\/p>\n<p>The Divisional Court disagreed.\u00a0 There was\u00a0no basis not to apply\u00a0the Court&#8217;s analysis in <em>Green<\/em>\u00a0regarding\u00a0the<em> Securities Act\u00a0<\/em>to\u00a0the\u00a0<em>Business Corporations Act <\/em>(and probably any other statute).<em>\u00a0<\/em><\/p>\n","protected":false},"excerpt":{"rendered":"<p>The Divisional Court has confirmed that the entitlement to an order granting leave nunc pro tunc to commence a derivative action under s. 26 of the Business Corporations Act requires bringing the leave motion within the limitation period.
