In 3113736 Canada Ltd. v. Cozy Corner Bedding Inc.<\/em><\/a>, the Court of Appeal explains why an equitable set-off is not subject to limitation:<\/p>\n

[<\/a>37]\u00a0\u00a0 \u00a0\u00a0\u00a0I would not give effect to this argument. Although equitable set-off is a defence, it is one that arises from the defendant having a \u201ccross-claim\u201d that is closely connected to the plaintiff\u2019s claim:\u00a0Telford v. Holt<\/em>,\u00a01987 CanLII 18 (SCC)<\/a>,\u00a0[1987] 2 S.C.R. 193<\/span>, at p. 212<\/span>. It is a way of raising, as a defence, a plaintiff\u2019s liability to take into account a loss it occasioned to the defendant in reduction of the plaintiff\u2019s claim. It is often referred to as a \u201cclaim for equitable set-off\u201d:\u00a0Canada Trustco Mortgage Co. v.
